Concern for ethics leads to a compliance at any cost atmosphere = huge amounts of bureacracy and paperwork, with little thought to making processes both efficient and compliant
History of decentralization means there is not a lot of experience with large-scale processes

Advice to Senior Management

No need to sacrifice efficiency or good relationships to have large-scale, compliant processes! Don't be too proud to look outside for benchmarks and good ideas, even if you consider yourself best-in-class.
