    Pros

    Potential to grow the organization with new programs and to grow professionally at the same time; high name recognition and credibility accorded to organization.

    Cons

    Business model is in transition, resulting in governance issues, lack of coherent policies and / or internal controls and a board that is in transition.

    Advice to Management

    Board needs to reach consensus regarding what the society's future identity and vision is, i.e., whether to stay as a small operation or to take the organization to the next level. If the latter is the case, then the Board needs to agree to implement the tools necessary to reach its goal (e.g., webcasts, Internet dissemination of live information, etc.).

    Pros

    great industry, with membership involved in the cutting financial issues impacting the capital markets. organization is part of global association which is very supportive.

    Cons

    Board of directors' heavy micromanagement/control culture, style, policies--no understanding of governance; unwillingness to review programs with objective analysis and/or adopt even moderate technology changes (unless absolutely pressed).

    Advice to Management

    Board and Executive Committee culture/leadership will determine management's ability to manage. Advise written agreement outlining parameters of Board's ability to involve itself with management decisions.
