We are partnering with our client to assist with their search for an experienced attorney as General Counsel. Our client is an independent, national nonprofit dedicated to transforming the lives of children and families struggling with mental health and learning disorders. They work to deliver the highest standards of care, advance the science of the developing brain, and empower parents, professionals and policymakers to support children when and where they need it most.

The General Counsel will serve as a key member of the leadership team and manage all legal matters for the organization in alignment with their mission, values and programmatic objectives.

Responsibilities:

Advise executive leadership and the Board of Directors on all legal matters affecting the organization, including governance, major transactions, financial compliance, fundraising, risk management, real estate, and external policy positions.
Oversee and manage corporate governance matters, including Board meetings, conflicts of interest, minutes, and associated processes and policies.
Collaborate with executive leadership on growth initiatives, including into new business lines, funding sources, and domestic and international expansion.
Serve as chief compliance and risk officer, advising on applicable laws and regulations, including in the areas of exempt organizations, employment, intellectual property, fundraising, tax, human subject research, data security, and privacy.
Manage the contract review and approval process, drafting and negotiating a wide variety of transactions, templates, official correspondence, and organizational policies.
Oversee the management of organizational insurance policies and renewals to ensure adequate coverage.
Oversee the organization’s intellectual property portfolio, including trademark, copyright and patent registrations and renewals.
Counsel Human Resources in employment-related personnel matters.
Serve as legal representative on the IT Incident Response Team, 401(K) Committee, and Clinical Incident Review Committees, among others.
Support the Finance Department in the preparation of audited financials and Form 990 Information returns.
Counsel clinicians on family law and litigation, oversee medical malpractice counsel, and manage responses to regulatory inquiries/investigations.
Counsel researchers and review protocols, consent forms, and IRB submissions.
Manage outside counsel as needed; strengthen and expand pro bono relationships.

Qualifications:

Juris Doctor Degree and with the ability to practice in New York State.
Minimum of eight years of legal experience at a law firm and/or as in-house counsel. Experience advising nonprofit organizations and/or medical service providers is strongly preferred.
Ability to communicate and collaborate effectively with a variety of internal and external stakeholders, including executive leadership, Board members, colleagues, grant-makers, and outside counsel.
Ability to supervise compliance and contract management professionals and manage multiple tasks simultaneously effectively in a fast-paced work environment.
Outstanding oral and written communication skills; excellent attention to detail.

The anticipated salary range for this position is $270,000 to $300,000 annually. Salary is based on a range of factors that include relevant experience, knowledge, skills, other job-related qualifications, and geography.
